* 본 약관은 가입회사의 국가가 대한민국일 경우에만 적용됩니다. 일본의 경우 일본어 이용약관을, 그 외 국가의 경우 영문 이용약관을 참고하시기 바랍니다.
1. 목적

eformsign 서비스(이하 “이폼사인” 혹은 “서비스”)의 주체는 대한민국 서울특별시 강남구 논현로646에 소재하는 합법적으로 설립한 주식회사 포시에스(이하 “포시에스”) 입니다.

본 약관은 ‘이폼사인’을 통해 제공하는 서비스와 관련하여 포시에스와 회원, 비회원 간의 권리와 의무, 책임사항 및 회원의 서비스 이용절차에 관한 사항 등을 규정함을 목적으로 합니다.
2. 용어의 정의

약관에서 사용하는 용어의 정의는 다음과 같습니다.

‘eformsign(이폼사인)’이란 기업에서 사용하는 모든 서류를 개발자가 아니어도 누구나 손쉽게 처음부터 전자문서로 만들어 바로 비즈니스 업무에 활용하고 안전하게 보관할 수 있는 클라우드 기반 전자문서 서비스 입니다.

‘회원’이란 이폼사인 웹사이트에 접속하여 약관에 동의하고, 포시에스와 서비스 이용계약을 체결한 개인 또는 법인을 말합니다.

‘비회원’이란 서비스에 가입하지 않고 서비스를 이용하는 개인 또는 법인을 말합니다.

‘사용자’란 회원과 비회원 모두를 말합니다.

‘가입회사’란 회원이 속한 회사로 대표계정의 회원이 서비스에 등록한 회사를 말합니다.

‘웹사이트’란 https://www.eformsign.com을 말합니다.

‘서비스 콘텐츠’란 서비스 내에 존재하는 전자서식(폼), 전자문서, 샘플 템플릿, 폼 작성기, 서비스 안내 정보 등 서비스와 관련해 제공되는 일체의 정보 및 내용물을 포함하는 말입니다.

‘사용자 콘텐츠’란 사용자가 서비스를 통해 생성하는 전자서식(폼), 전자문서, 템플릿 등을 말합니다.

‘추가 옵션’이란 타임스탬프, SMS, 본인확인서비스 등 이용 건당 추가 비용이 발생하는 서비스를 말합니다.

2.1.10.
‘초과 이용’이란 회원이 선택한 요금제의 정해진 서비스 이용 한도를 초과하는 경우를 말합니다.

2.1.11.
‘대표계정’이란 가입회사를 대표하는 회원의 계정을 말합니다.

2.1.12.
‘개인정보’란 회원이 서비스를 이용하기 위하여 회원가입 시 입력하는 정보를 말합니다.

2.2.
위 제2.1조에서 정의되지 않은 약관상 용어의 의미는 일반적인 상관례를 따릅니다.
3. 약관의 효력과 변경

3.1.
본 약관은 서비스를 이용하고자 하는 모든 회원 및 비회원에 대하여 그 효력이 발생합니다.

3.2.
포시에스는 서비스를 이용하고자 하는 자가 확인할 수 있도록 본 약관을 웹사이트(연결 화면 포함)에 게시합니다.

3.3.
약관이 변경되는 경우 포시에스는 이에 대한 변경 공지를 웹사이트에 게시하거나 이메일을 발송하는 등 기타의 방법으로 회원에게 공지합니다.

3.4.
약관 변경은 소급되어 적용되지 않고 최초 공지 후 7일 이후에 발효됩니다. 단, 불리할 수 있는 중대한 내용의 약관 변경의 경우에는 최초 공지로부터 30일 이후에 발효됩니다.

3.5.
회원은 서비스에 대해 변경된 약관에 동의하지 않는 경우 서비스 이용이 불가할 수 있으며, 회원은 서비스 이용을 중단하고 이용계약을 해지할 수 있습니다.

3.6.
본 약관은 회원이 본 약관 제8조에 따라 회원 가입 절차를 완료한 시점부터 유효합니다.
4. 약관의 해석

4.1.
일부 서비스나 소프트웨어는 개별계약 또는 추가 조건의 적용을 받을 수 있습니다.

4.2.
포시에스와 개별계약을 체결하여 서비스를 이용하는 회원의 경우, 포시에스는 서비스에 대한 운영정책 등을 별도로 정할 수 있으며, 해당 내용이 본 약관과 상충할 경우에는 회원과 체결된 개별계약의 내용 및 운영정책 등이 우선하여 적용됩니다.

4.3.
본 약관에서 규정하지 않은 사항에 대해서는 대한민국 정부가 정한 약관의 규제에 관한 법률, 전기통신기본법, 전기통신사업법, 정보통신망 이용촉진 및 정보보호 등에 관한 법률 등의 관계법령에 따릅니다.
5. 서비스의 제공

5.1.
포시에스에서 개발 및 운영하는 이폼사인은 정보처리 능력을 가진 장치에 의하여 전자적인 형태로 작성된 전자문서에 전자서명 등을 할 수 있는 서비스를 제공하는 플랫폼입니다.

5.2.
이폼사인은 특정 국가의 정책으로 인해 서비스 접속이 불가능할 수 있습니다.

5.3.
서비스 제공은 포시에스의 업무상 또는 기술상 특별한 지장이 없는 한 연중무휴 1일 24시간을 원칙으로 합니다.

5.4.
제5.3조에도 불구하고 포시에스는 다음 각 경우에는 서비스의 전부 또는 일부를 일시 정지할 수 있습니다. 이 경우 포시에스는 사전에 그 정지의 사유와 기간을 홈페이지에 공지합니다. 다만, 사전에 공지할 수 없는 부득이한 사정이 있는 경우 사후에 공지할 수 있습니다.

시스템 정기점검, 서버의 증설 및 교체, 네트워크의 불안정 등의 시스템 운영상 필요한 경우

정전, 서비스 설비의 장애, 서비스 이용 폭주, 기간통신사업자의 설비 보수 또는 점검 등으로 인하여 정상적인 서비스 제공이 불가능한 경우

5.4.3.
전시, 사변, 천재지변 또는 이에 준하는 국가비상사태 등 포시에스가 통제할 수 없는 상황이 발생한 경우
6. 서비스 이용을 위한 최소 사용환경

6.1.
서비스 이용을 위한 시스템 요구사항은 아래 링크를 방문하여 확인할 수 있습니다.

6.2.
제6.1조의 시스템 요구사항은 변경될 수 있으므로, 회원은 이를 확인할 의무를 부담하며 변경된 내용은 위 링크에서 확인할 수 있습니다.

6.3.
서비스 이용자가 시스템 요구사항을 충족하지 못하는 환경에서 서비스를 이용할 경우 서비스 제공이 원활하지 않을 수 있습니다.
7. 서비스의 변경

7.1.
포시에스는 원활한 서비스 제공을 위해 운영상 또는 기술상의 필요에 따라 서비스 기능을 추가하거나 서비스를 변경, 혹은 중단할 수 있습니다.

7.2.
포시에스는 서비스 종류의 신설 또는 기타 변경 사항에 대해서 변경 전에 홈페이지를 통하여 게시하며, 회원에 대한 서비스의 변경사항은 홈페이지에 게시 또는 회원의 이메일을 통해 통보합니다. 다만, 버그 오류 등의 수정이나 긴급 업데이트 등 부득이하게 변경할 필요가 있는 경우 또는 중대한 변경에 해당하지 않는 경우에는 사후에 공지할 수 있습니다.

7.3.
포시에스는 영업양도․분할․합병 등에 따른 영업의 폐지, 당해 서비스의 현저한 수익 악화 등 경영상의 중대한 사유로 인해 서비스를 지속하기 어려운 경우에는 서비스를 중단할 수 있습니다. 이 경우 중단 일자 30일 이전까지 중단 일자 및 중단 사유를 홈페이지에 게시 또는 회원의 이메일을 통해 통보합니다.
8. 서비스 이용계약의 성립

8.1.
서비스 이용계약(이하 “이용계약”)은 서비스를 이용하고자 하는 자의 회원가입 신청 및 약관과 개인정보 처리방침에 대한 동의, 그리고 포시에스의 이용 승낙으로 계약이 성립됩니다.

8.2.
포시에스는 이용 승낙의 의사를 ‘가입되었음’을 안내하는 메시지를 홈페이지 내 직접 표시 또는 이메일 발송 등 기타의 방법으로 이용 신청자에게 고지합니다.

8.3.
포시에스는 다음과 같은 사유가 있는 경우, 이용 신청에 대한 승낙을 거절하거나 가입 이후에라도 취소할 수 있습니다.

이메일 주소가 이미 가입 중인 경우

8.3.2.
다른 사람의 명의를 사용하여 신청한 경우

8.3.3.
신청 시 필수 작성 사항을 허위로 기재한 경우

8.3.4.
관계 법령에서 금지하는 행위 또는 사회의 안녕과 질서 또는 미풍양속을 저해할 목적으로 신청하거나 그러한 행위를 하는 경우

8.3.5.
서비스 콘텐츠를 제3자에게 재판매하는 방법 등으로 영리를 추구할 목적으로 서비스를 이용하고자 하는 경우

8.3.6.
다른 사람의 서비스 이용을 방해하거나 그 정보를 도용하는 등 전자거래질서를 위협하는 경우

8.3.7.
본 약관 제13.3조에 따라 포시에스가 이용계약을 해지한 적이 있는 경우

8.3.8.
기타 본 약관에 위배되거나 위법 또는 부당한 이용 신청임이 확인된 경우
-
8.4.
포시에스는 서비스 관련 설비의 여유가 없거나, 기술상 또는 업무상 문제가 있는 경우에는 그 사유가 해소될 때까지 승낙을 유보할 수 있습니다.
9. 회원 정보의 수집 및 보호

9.1.
서비스를 이용하고자 하는 자는 포시에스가 온라인으로 제공하는 가입신청 양식에 따라 정보를 사실대로 기재해야 합니다.

포시에스는 회원가입 시 회원이 제공한 정보를 수집 및 보관합니다.

9.3.
포시에스는 필요한 경우 회원이 제공한 정보 외에 회원의 동의 하에 추가로 정보를 수집할 수 있습니다.

9.4.
포시에스는 관계 법령에 따라 회원의 개인정보를 보호하기 위해 노력합니다.

9.5.
개인정보 수집 및 보호에 관한 자세한 내용은 개인정보 처리방침을 확인하여 주시기 바랍니다.

9.6.
포시에스는 회원의 귀책사유로 인해 노출된 회원의 정보를 포함한 모든 정보에 대해서는 일체의 책임이 없습니다.
10. 회원 정보의 변경

10.1.
회원은 가입신청 시 기재한 정보가 잘못되었거나 변경 사항이 발생했을 때 즉시 서비스 내의 해당 정보를 수정해야 합니다.

10.2.
정보 변경 내용을 수정하지 않아 발생하는 손해에 대한 책임은 회원에게 있습니다.
11. 회원에 대한 통지

11.1.
포시에스가 회원에 대한 통지를 하는 경우 회원이 포시에스에 제공한 이메일 주소로 할 수 있습니다.

11.2.
포시에스는 회원 전체에 대한 통지를 하는 경우 1주일 이상 서비스 웹사이트에 게시함으로써 개별 통지에 갈음할 수 있습니다.
12. 서비스 이용제한 등

12.1.
포시에스는 회원이 본 약관의 의무를 위반하거나 서비스의 정상적인 운영을 방해한 경우, 경고, 일시 정지, 계약 해지 등 서비스의 이용을 단계적으로 제한할 수 있습니다.

12.2.
포시에스는 제12.1조에도 불구하고, 타인의 명의 또는 결제수단 도용, 불법프로그램의 제공 또는 운영방해, 정보통신망 이용촉진 및 정보보호 등에 관한 법률을 위반한 불법통신 및 해킹, 악성프로그램의 배포, 접속권한 초과행위 등과 같이 관련 법령을 위반한 경우에는 즉시 서비스 이용을 제한하거나 계약을 해지할 수 있습니다. 이에 따른 계약 해지 시 서비스 이용을 통해 획득한 크레딧 및 기타 혜택 등은 모두 소멸되며, 포시에스는 이에 대해 별도로 보상하지 않습니다.

12.3.
포시에스가 본 약관에 따라 회원의 서비스 이용을 제한하거나 계약을 해지하는 경우, 제한의 조건 및 구체적인 내용이 운영정책 등에 규정된 경우 그 정한 바에 따릅니다.

12.4.
회원은 포시에스의 이용제한 조치 등에 대하여 회사가 정한 절차에 따라 이의신청을 할 수 있습니다. 회원의 이의 사유가 정당하다고 인정되는 경우 포시에스는 즉시 회원의 서비스 이용을 재개해야 합니다.

12.5.
특정 회원이 가입회사에서 퇴사하거나, 담당업무를 변경하는 등으로 더 이상 가입회사를 위하여 이폼사인을 이용하지 않게 되는 경우, 대표계정을 이용하는 회원은 해당 회원이 보유하고 있는 가입회사 관련 문서를 대표계정 본인 또는 다른 회원의 계정으로 이동시키고, 해당 회원을 회사에서 비활성화 할 수 있습니다. 그 경우 해당 회원은 더 이상 회원 본인 또는 다른 회원이 보유하고 있는 가입회사의 문서에 접근할 수 없으며, 해당 가입회사를 위하여 이폼사인을 이용할 수 없습니다.
13. 이용계약의 종료

13.1.
포시에스 또는 회원은 약관에서 정한 절차에 따라 이용계약을 해지할 수 있습니다.

13.2.
회원이 해지하는 경우

13.2.1.
회원은 포시에스에게 해지 의사를 통지하거나 로그인 후 [내 정보] 메뉴의 ‘eformsign탈퇴하기’를 통해 이용계약을 해지할 수 있습니다.

13.2.2.
이용계약을 해지한 후라도 사용자는 회원으로 다시 가입할 수 있습니다. 단, 사용자가 크레딧, 무료사용기간 등 한 회원에게 수량이나 기간의 제한을 두고 제공되는 혜택을 반복 수령하는 등 부정한 목적으로 해지 후 재가입을 신청하는 경우 포시에스는 재가입을 제한할 수 있습니다.

13.2.3.
회원은 이용계약을 해지한 후에도 서비스에서 이루어진 모든 행위 및 그 결과에 대해서 일체의 책임을 져야 합니다.

13.3.
포시에스가 해지하는 경우

포시에스는 다음과 같은 사유가 있는 경우 회원과의 이용계약을 해지할 수 있습니다.

회원이 본 약관에서 금지한 행위를 한 경우

포시에스나 기타 다른 사용자의 지식재산권 등 기타 권리나 명예, 신용 및 이익을 침해하는 행위를 한 경우

포시에스가 제공하는 서비스 콘텐츠의 내용을 변경하거나, 서비스에 장애를 유발하거나 관련 행위를 시도한 경우

13.3.1.4.
회원이 파산, 금치산, 한정치산 결정 또는 유죄, 사망, 실종, 해산, 부도 등의 선고를 받은 경우

13.3.1.5.
회원이 서비스에 대한 요금을 1개월 이상 연체하고 지불하지 않은 경우

13.3.1.6.
회원에게 제8.3.조에 기재된 회원 가입 거절 사유가 발견된 경우

13.4.
포시에스는 해지 시점 이후 관련 법령에 의거 보관해야 하는 정보를 제외한 회원의 모든 정보를 바로 삭제하며 복구할 수 없습니다.

13.5.
이용계약의 해지로 발생하는 문제에 대하여 포시에스는 일체의 책임을 지지 않습니다.
14. 서비스 이용 시 주의사항

14.1.
사용자는 회원가입 후 서비스를 이용할 수 있습니다.

14.2.
회원 또는 회원이 소속된 가입회사가 선택한 요금제에 따라 서비스 이용 권한이 차등될 수 있으며, 그에 대한 사항은 홈페이지에 공지됩니다.

14.3.
일부 서비스는 추가 이용료 또는 수수료가 발생할 수 있습니다. 회원이 서비스 이용을 신청하기 전에 포시에스는 회원에게 해당 서비스 페이지에서 서비스의 내용과 함께 서비스 이용 시 발생하는 추가 이용료 또는 수수료를 안내할 것입니다.

14.4.
포시에스는 회원에게 사전 고지 후 특정 요금제 내용 및 가격을 변경할 수 있습니다.

14.5.
회원은 서비스 사용이 끝난 후 보안을 위해 반드시 로그아웃 할 것을 권장합니다.

14.6.
회원이 가입회사를 위하여 작성한 문서는 해당 가입회사의 다른 회원들에게 권한에 따라 자동으로 공유됩니다.
15. 전자문서 법적 효력에 대한 확인

15.1.
전자문서는 대한민국 내에서 전자문서 및 전자거래 기본법 제 4조제1항에 따라 전자적 형태로 되어 있다는 이유로 문서로서의 효력이 부인되지 않습니다. 그러나, 다른 법령에 특별한 규정이 있을 경우 전자문서의 법적 효력이 인정되지 않을 수 있습니다.

15.2.
사용자는 사용자가 작성하는 전자문서의 법적 효력 여부를 확인해야 합니다. 해당 사실을 인지하지 못해 발생하는 문제에 대해서 포시에스는 책임이 없습니다.
16. 전자서명 법적 효력에 대한 확인

16.1.
전자서명(사인, 도장 등)은 대한민국 내에서 전자서명법 제3조제3항에 따라 당사자 간의 약정에 따른 서명, 서명날인 또는 기명날인으로서의 효력을 가집니다.

16.2.
전자서명에 사용되는 서명은 공인전자서명이 아닌 일반전자서명으로써, 법령에 공인전자서명을 사용하도록 명시한 특별한 규정이 있을 경우 서명의 법적 효력이 인정되지 않을 수 있습니다.

16.3.
사용자는 사용자가 작성하고 요청하는 전자서명의 법적 효력 여부를 확인해야 합니다. 해당 사실을 인지하지 못해 발생하는 문제에 대해서 포시에스는 책임이 없습니다.
17. 유료서비스의 결제

17.1.
회원은 유료 요금제 구독을 원하는 경우 유효한 결제정보를 등록해야 합니다. 이용 가능한 결제 수단은 결제 페이지에서 확인할 수 있습니다.

17.2.
회원이 선택한 요금제의 결제 방식에 따라 결제가 이루어집니다. 요금제의 서비스 제공 범위를 초과해 서비스를 이용한 경우, 요금제 외 추가 옵션을 사용한 경우 요금제 가격과 함께 추가 요금이 결제됩니다.

17.3.
이폼사인은 정기구독 결제 서비스로, 서비스 결제 페이지에 달리 명시되지 않는 한 매월 자동으로 갱신됩니다.

17.4.
구독 요금제의 요금 및 기능은 시간이 지남에 따라 변경될 수 있으며, 포시에스는 회원의 구독 종료에 맞추어 기존 정기구독 결제 서비스에 상당하는 새로운 정기구독 서비스를 추천할 수 있습니다.

17.5.
포시에스는 회원에게 사용 내역을 포함한 인보이스를 이메일로 제공합니다. 포시에스는 이미 요금이 납부된 후에도 오류를 발견한 경우 인보이스 내용을 수정하여 재발급할 수 있습니다. 회원은 인보이스에 이의가 있을 경우 인보이스 발급일로부터 7일 이내에 이의 내용을 포시에스에 통지해야 합니다.

17.6.
포시에스와 유료서비스 이용계약을 체결한 회원은 관련 법령에서 정한 바에 따라 일정 기간 내에 청약을 철회할 수 있습니다. 단, 유료서비스에는 ‘전자상거래 등에서의 소비자 보호에 관한 법률’ 등에서 규정하는 청약철회가 불가능한 서비스가 포함되어 있을 수 있으며, 이 경우 포시에스는 청약철회권 제한을 위해 관련 법령상 필요한 조치를 취합니다.

17.7.
포시에스는 유료서비스 결제와 관련하여 금액이 잘못 부과된 경우, 이용대금의 결제와 동일한 방법으로 잘못 부과된 금액 전액을 환불합니다. 다만 동일한 방법으로 환불이 불가능할 때는 이를 사전에 고지하고 회원의 동의를 받은 경우 크레딧으로 제공합니다.

17.8.
회원은 유료 서비스 이용에 대한 대가로 정해진 요금을 납입할 의무가 있으며, 이용요금 미납으로 인해 발생하는 모든 문제에 대한 책임은 회원에게 있습니다.

17.9.
기타 보상에 관한 정책은 이폼사인 서비스수준협약(SLA)을 참고하시기 바랍니다.

18. 요금제 변경 또는 해지

18.1.
요금제는 월 1회 변경할 수 있습니다. 신규 유료 회원의 경우 요금제 구독 시 즉시 요금제가 적용되며, 기존 유료 회원의 경우 요금제 변경 시 다음 달 1일부터 새로운 요금제가 적용됩니다.

18.2.
유료 요금제 구독 중 회사를 삭제할 경우 이용 중인 요금제 구독이 해지되며, 1일부터 삭제일까지의 요금이 일할 계산되어 삭제일 다음 날에 청구 및 결제됩니다. 단, 요금제에서 기본으로 제공되는 사용량 외에 초과 발생된 문서 사용량과 추가 요금이 부과되는 옵션을 사용한 경우 사용한 만큼 합산되어 청구됩니다.
19. 이용 요금의 연체 관리

19.1.
유료 서비스 요금의 결제일에 정상 결제가 이루어지지 않을 경우 포시에스는 회원에게 이 사실을 통보하고 연체 처리합니다.

19.2.
연체 상태가 7일 이상 경과되면 회원의 서비스 이용을 제한 또는 중지할 수 있습니다.

19.3.
연체 후 30일 이내에 결제하지 않으면 제13.3.1.5조에 따라 포시에스는 이용계약을 해지할 수 있으며, 회원의 모든 데이터가 삭제될 수 있습니다. 이로 인해 발생하는 모든 문제에 대한 책임은 회원에게 있습니다.

19.4.
회원이 서비스 요금 납부를 연체하는 경우 포시에스는 상사법정이율인 연 6%의 이자율을 적용해 연체 이자를 부과합니다.
20. 비회원의 이용

20.1.
포시에스는 회원이 비회원에게 서비스 사용을 요청할 수 있도록 비회원용 서비스 URL을 생성할 수 있는 방법을 제공합니다.

20.2.
회원은 비회원에게 서비스에서 생성한 비회원용 서비스 URL을 전송하고 서비스 사용을 요청할 수 있습니다.

20.3.
비회원은 비회원용 서비스 URL로 접속해 ‘전자문서 및 전자서명 사용 동의서’에 동의한 후 서비스를 사용할 수 있습니다.

20.4.
회원은 비회원에게 문서 처리 및 서명을 요청할 경우 비회원의 실명, 본인 소유 이메일, 휴대폰 번호 등을 확인하고 인증 수단을 통해 본인확인을 하도록 해야 합니다.

20.5.
포시에스는 문서 요청자가 권한을 가지지 않은 비회원에게 처리 및 서명을 요청함에 따라 발생하는 문제에 대해서는 책임이 없습니다.
21. 회원의 의무

21.1.
회원은 서비스 사용과 관련한 모든 활동에 대한 책임이 있으며, 서비스에 적용되는 모든 국내 법규를 준수해야 합니다.

21.2.
회원은 본 약관이 정하는 바에 따라 서비스를 이용하며, 유료 서비스 이용 시 부과된 요금을 납부할 의무가 있습니다.

21.3.
회원은 회원의 비밀번호 등의 계정 정보를 공유해서는 안 되며, 다른 회원의 계정을 사용할 수 없습니다.

21.4.
회원은 불법적 목적을 위해 혹은 본 약관에 위배되는 방식으로 서비스를 이용해서는 안 됩니다. 또한, 회원은 서비스 이용 시 다음과 같은 행위를 해서는 안 됩니다.

제21조 회원의 의무에서 정한 내용에도 불구하고 회원 또는 그 회원을 통해 서비스를 사용한 비회원이 약관을 위반하여 서비스를 사용하는 경우 회원에게는 이에 상응하는 책임이 발생합니다.

사용자 콘텐츠가 관련 법령을 위반하는 경우, 포시에스는 이에 대한 책임을 지지 않습니다.
22. 포시에스의 의무

22.1.
포시에스는 본 약관이 정하는 바에 따라 계속적이고 안정적인 서비스 제공을 위해 최선을 다합니다.

22.2.
포시에스는 회원이 안전하게 서비스를 이용할 수 있도록 개인정보 보호를 위해 정보보안에 최선을 다하고 개인정보처리방침을 공시하고 준수합니다.

22.3.
회원으로부터 제기되는 의견이나 불만이 정당하다고 객관적으로 인정될 경우에는 합리적인 기간 내에 신속하게 처리해야 합니다. 단, 신속한 처리가 어려울 경우 회원에게 이메일 등을 통해 사유 및 일정 등에 대해 고지하고 처리과정 및 처리결과를 전달합니다.
23. 지적재산권

23.1.
이폼사인 관련 소프트웨어 및 서비스 콘텐츠에 대한 지적재산권, 소유권, 저작권은 포시에스에 있습니다.

23.2.
회원은 회원이 창작한 사용자 콘텐츠에 대한 지적재산권을 가집니다. 단, 사용자 콘텐츠가 서비스 콘텐츠를 일부 변경하여 작성된 경우, 회원이 창작한 부분에 한하여 지적재산권이 인정됩니다.

23.3.
회원은 포시에스가 제공하는 서비스를 이용하여 얻은 정보를 포시에스의 사전 동의 없이 복제⋅전송, 편집, 공표, 공연, 배포, 방송, 2차적저작물작성 등의 방법으로 영리목적으로 이용하거나 타인에게 이용하게 하여서는 안 됩니다.
24. 손해배상

포시에스가 고의 또는 과실로 서비스수준협약(SLA)에서 정한 품질과 성능에 미달하는 서비스를 제공하여 회원에게 손해를 발생시킨 경우 포시에스는 회원에게 서비스수준협약에서 정한 방식으로 손해를 배상합니다.

24.2.
회원이 고의 또는 과실로 본 약관의 의무를 위반하여 포시에스에 손해를 발생시킨 경우 회원은 포시에스에게 손해를 배상할 책임이 있습니다.

24.3.
회원이 불법적 목적을 위해, 혹은 본 약관에 위배되는 방식으로 서비스를 이용하거나 제3자의 저작권 또는 지식재산권을 침해하여 포시에스가 제 3자로부터 손해배상 청구 또는 소송 등 각종 이의제기를 받은 경우 회원은 자신의 책임과 비용으로 포시에스를 면책시켜야 하며, 면책이 되지 못한 경우 회원은 이로 인하여 발생한 모든 손해를 배상해야 합니다.
25. 포시에스의 면책

포시에스는 아래와 같은 경우 책임이 면제됩니다.

천재지변 또는 국가 정책 등 이에 준하는 불가항력으로 인해 서비스를 제공할 수 없는 경우

사용자의 귀책사유로 인해 발생한 손해

회원의 본 약관에 위배된 서비스 사용으로 인해 발생하는 손해

회원 간 또는 회원과 제3자 상호간에 이폼사인을 이용 또는 매개로 하여 발생한 거래나 분쟁

회원의 요금 미납, 본 약관 위반 등으로 회원의 계정이 정지 또는 삭제되어, 혹은 보관 파일이 삭제되어 회원에게 손해가 발생하였을 경우

기타 회원의 고의 또는 과실, 혹은 서비스 이용방법에 대한 미숙함으로 인해 발생한 사용자 또는 제 3자의 손해

26. 보증의 부인

포시에스는 서비스를 현재 상태 기준으로 제공하며, 결함이 있을 수 있습니다.

포시에스는 다음 사항에 대하여 어떠한 보증을 하지 않습니다.

서비스를 항상, 중단 없이 그리고 오류 없이 사용

서비스 품질에 대한 만족

서비스의 모든 오류에 대한 수정

모든 국가에서 전자문서가 효력이 있는지 여부 또는 이폼사인을 통해 전자서명된 문서가 적법한지 여부

26.3.
사용자는 서비스 사용이 자신의 판단에 의한 것이며 서비스 사용에 대한 모든 책임이 자신에게 있음을 이해하고 동의합니다.
27. 분쟁해결

27.1.
서비스 이용과 관련하여 포시에스와 회원 사이에 분쟁이 발생한 경우 양측 당사자는 분쟁의 해결을 위해 성실히 협의하여 분쟁이 원만하게 해결되도록 노력합니다.

27.2.
이러한 노력에도 불구하고 분쟁 해결이 안 될 경우, 민사소송법상의 관할 법원에 소를 제기할 수 있습니다.
28. 기타사항

28.1.
약관에 따른 회원의 권리 및 의무를 포시에스의 동의 없이 양도 및 양수할 수 없습니다.

약관의 특정 조항의 효력이 상실된 경우 상실된 조항을 제외하고 약관은 유효합니다.

약관의 일부 조항을 포시에스가 집행하거나 행사하지 않은 경우에도 이는 포시에스의 해당 조항의 포기로 간주되지 않습니다.

약관에 명시되지 않은 사항은 일반 상관례를 따릅니다.

eformsign Terms and Conditions of Use
1. Purpose

The purpose of these Terms and Conditions of Use is to govern the rights, obligations, and duties among FORCS Co., LTD., FORCS Singapore PTE Ltd., members, and non-members, and also govern the service use procedures for members with respect to the service provided by eformsign.
-
FORCS Singapore PTE Ltd. (hereinafter referred to as FORCS) is in charge of service operation and payment processing for eformsign customers who signed up for the service outside of the Republic of Korea. When purchasing by credit card, you are contracting with FORCS under Singapore law.
-
FORCS Co., LTD. is in charge of the development and operation of eformsign, as well as payment processing for eformsign customers who signed up for the service in the Republic of Korea.
2. Definitions of Terms

2.1.
The definitions of terms used in the Terms and Conditions of Use shall be as follows:

2.1.1.
“eformsign” refers to a cloud-based electronic document service in which anyone without programming knowledge can create all kinds of documents in electronic format to be deployed for business use and stored securely.

2.1.2.
“Member” refers to individuals or corporations that have access to the eformsign website, agree to the Terms and Conditions of Use, and enter into the Service Agreement with FORCS.
-
2.1.3.
“Non-member” refers to individuals or corporations that use the service without being registered to the service.
-
2.1.4.
“User(s)” refers to both members and non-members.
-
2.1.5.
"Registered company" refers to the company in which members belong to and registered by the company administrator.

2.1.6.
“Website” refers to https://www.eformsign.com.
-
2.1.7.
“Service Content” refers to any and all information and materials provided in connection with the service, including electronic forms, electronic documents, sample templates, form builders, and service information.
-
2.1.8.
“User Content” refers to electronic forms, electronic documents, templates, etc. created by users through the service.
-
2.1.9.
“Additional Option(s)” refers to the services of timestamps, SMS, identity verification service, etc. for which additional expenses per use are incurred.
-
2.1.10.
“Exceeded Usage” refers to use in excess of the service use limit predetermined for a plan subscribed by a member.
-
2.1.11.
“Company administrator” refers to the member account that represents the registered company.
-
2.1.12.
“Personal Information” refers to the information to be entered by a member at the time of account registration in order to use the service.
-
2.2.
The meaning of terms under the Terms and Conditions of Use not defined in Article 2.1 above shall follow general commercial practices.
3. Effect and Modification of the Terms and Conditions of Use
-
3.1.
The Terms and Conditions of Use is effective for all members and non-members who use the service.
-
3.2.
FORCS shall post on its website (including connected screens) the Terms and Conditions of Use in order to ensure that persons intending to use the service can read and understand them.
-
3.3.
In the event there is a change to the Terms and Conditions of Use, FORCS shall notify members of such a change(s) by posting it on its website, sending it via email, or through other methods.
-
3.4.
Change(s) to the Terms and Conditions of Use are not retroactively applied and take effect 7 days after the initial notice. However, for changes to the Terms and Conditions of Use that are of high importance, the changes will take effect 30 days after the initial notice.

3.5.
If a member does not consent to the Terms and Conditions of Use as modified with respect to the service, the member shall immediately discontinue the use of the service and terminate the Service Agreement.

3.6.
The Terms and Conditions of Use are effective from the time the member completes the account registration process in accordance with Article 8.
4. Interpretation of the Terms and Conditions of Use

4.1.
Some services or software may be subject to individually signed contracts or additional conditions.
-
4.2.
In the case of companies that use the service by individually signing a contract with FORCS, FORCS may set different operational policies for each company. In the event that the operational policy set for a company conflicts with the Terms and Conditions of Use, the operational policy stated in the individual contract concluded with the company shall take precedence.

4.3.
For users who signed up outside of the Republic of Korea, any matter not specified in the Terms and Conditions of Use shall be subject to relevant laws enacted in the Republic of Singapore.
For users who signed up in the Republic of Korea, any matter not specified in the Terms and Conditions of Use shall be subject to relevant laws enacted in the Republic of Korea, including the Act on the Regulation of Terms and Conditions, the Electronic Communication Fundamental Law, the Telecommunications Business Act, and the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc.
5. Provision of Service

5.1.
eformsign, developed and operated by FORCS Co., LTD. is a platform that provides a service allowing to create and sign electronic documents using devices with information processing capabilities.
-
5.2.
It may be impossible to have access to the eformsign service due to a specific country’s policies.
-
5.3.
In principle, the service is provided 24 hours a day, 7 days a week, unless a special business or technical problem occurs to FORCS.
-
5.4.
Notwithstanding Article 5.3, FORCS may suspend all or part of the service in each of the cases stated below. In such cases, FORCS will notify the reason and duration of service suspension in advance on the homepage. However, in the case of unavoidable circumstances that cannot be announced in advance, we may notify you after the service is suspended.

5.4.1.
When performing tasks necessary for service operation such as regular inspection of systems, expansion and replacement of servers, and network instability.
-
5.4.2.
When normal service operation is interrupted due to reasons such as power outage, equipment failure, service bottleneck, or maintenance of equipment by facilities-based telecommunications business entities.
-
5.4.3.
When there’s a situation beyond the control of FORCS such a war, natural disaster, national emergency, or force majeure.
6. Minimum Use Environment for Service Use

6.1.
Relevant system requirements for service use may be found in the following link:

6.2.
The system requirements of Article 6.1 may be changed and the member is obliged to check the changes. Note that such changes can be found at the link above.

6.3.
In the event a service user uses the service in an environment where the system requirements are not satisfied, problems may occur.
7. Change of Service
-
7.1.
FORCS may add new features, change or remove existing features, or suspend the service in order to meet operational or technical requirements needed for a smooth service operation.
-
7.2.
FORCS will post notices about service additions and changes on the homepage beforehand. As for changes regarding members, notices will be posted on the homepage or sent via email. However, in cases where an unavoidable change/urgent update needs to be made due to errors/bugs, or if the change/update is not a major one, we may notify you later.
-
7.3.
FORCS reserves the right to discontinue the service if it is difficult for the company to continue on with the service due to significant business reasons such as business closure arising from business transfer, division, merger, etc., or significant deterioration in revenue. In such cases, the service discontinuation date and the reason will be notified by posting on the website or sending via email within 30 days before the service is discontinued.
8. Acceptance of Service Agreement

8.1.
Service Agreement shall be formed when a person intending to use the service applies for account registration, consents to these Terms and Conditions of Use and the Privacy Policy, and FORCS approves such use.

8.2.
FORCS shall notify those who apply for account registration that their application has been accepted, and this will be done through various methods such as sending an email or notifying the member when they login to the service for the first time.
-
8.3.
FORCS reserves the right to refuse account registration to any applicant and the right to terminate the account after being registered from any of the reasons stated below.

8.3.1.
When registering with an email address that is already registered;
-
8.3.2.
When applying using another person’s name;
-
8.3.3.
When entering false information in a required field in the application form;
-
8.3.4.
When committing acts that violate laws or cause harm to society or applying with such intent;
-
8.3.5.
When using the service for the purpose of pursuing profit such as reselling the service to a third party;
-
8.3.6.
When threatening to interfere with electronic transactions through activities such as illegal use of people’s information or interrupting others from using the service;
-
8.3.7.
When FORCS has previously terminated the Service Agreement pursuant to Article 13.3 of the Terms of Conditions of Use; or
-
8.3.8.
When it is found that the applicant has applied for account registration with the intent of violating the Terms and Conditions of Use.

8.4.
If there is a technical or business issue, or lack of equipment capacity to expand the service, FORCS reserves the right to withhold account registration.
9. Collection and Protection of Member Information

9.1.
Any person intending to use the service shall specify correct information in a subscription application form provided online by FORCS.

9.2.
FORCS reserves the right to collect and store the information provided by members at the time of account registration.
-
9.3.
FORCS reserves the right to collect information about members with their consent, in addition to the information provided by members.

9.4.
FORCS strives to protect and respect the personal information of its members in accordance with all applicable laws.

9.5.

9.6.
FORCS is not responsible for any information including any member’s personal information exposed due to reasons attributable to the member.
10. Changes in Member Information
-
10.1.
If a member has previously entered incorrect information when registering an account, or the information has changed since then and needs to be updated, he/she shall immediately correct the information.
-
10.2.
If a member has not corrected relevant information as such, he/she shall be responsible for damages incurred as a result.
11. Notice to members
-
11.1.
When sending notices to members, FORCS may do so by using email addresses members provided to FORCS.
-
11.2.
When giving notices to all members, FORCS may decide to forgo giving notices via email and instead post a notice on the homepage more than once a week.
12. Service use restrictions
-
12.1.
In the event that a member violates the obligations of the Terms and Conditions of Use or interferes with the normal operation of the service, FORCS may restrict the use of the service in a step-by-step process such as through a warning, suspension, or termination of the contract.

12.2.
Notwithstanding Article 12.1, if any member violates any applicable laws such as those in identity theft, credit card fraud, provision of illegal programs, interruption to service operation, illegal communication and hacking leading to the breaching of the “Act on Promotion of Information and Communication Network Utilization and Information Protection, etc.”, deployment of malicious programs, and excessive access of the service, FORCS reserves the right to limit the member’s use of the service or terminate the member’s contract. Upon termination of the contract, all credits and other benefits obtained through the use of the service will be terminated, and without compensation from FORCS.

12.3.
In the event FORCS restricts the service to any member or terminates the member’s contract in accordance with the Terms and Conditions of Use, FORCS will follow the conditions and specifics of the restrictions stipulated in the service operation policy and other related policies.

12.4.
Members can appeal the restriction to the service set by FORCS according to the procedures set by the company. If FORCS determines that the reason given by a member for the appeal is justified, then FORCS will immediately resume the member’s service.
-
12.5.
In the event any member wishes to no longer use eformsign due to reasons such as leaving the company the member belongs to in eformsign, the company administrator can transfer the member’s documents to his/her own account or another member’s account and then deactivate the member’s account. In this case, the member can no longer access the documents in the company he/she was deactivated from, and can no longer use the eformsign service as a member of the company.
13. Completion of the Service Agreement

13.1.
FORCS or members may terminate the service Agreement according to the procedures specified in the Terms and Conditions of Use.

13.2.
Termination by Members
-
-
13.2.1.
Members may terminate the Service Agreement by notifying FORCS its intention to terminate or by clicking “Delete the eformsign account” in the “My profile” menu of eformsign.
-
13.2.2.
Even after a member terminates the Service Agreement, he/she may register an account again. However, when a member purposely terminates the Service agreement and then reapplying for account registration for a wrongful intention including trying to reap the benefits such as receiving free credits and extending the free trial plan period which are given to members in limited quantify or period, FORCS may restrict such re-registration.

13.2.3.
Even after a member terminates the Service Agreement, he/she shall assume all responsibilities for any and all activities done at the service and consequences thereof.

13.3.
Termination by FORCS
-

13.3.1.
In each of the following cases, FORCS may terminate the Service Agreement with a member:
-

13.3.1.1.
Where a member engages in activities prohibited in the Terms and Conditions of Use;
-
13.3.1.2.
Where a member infringes upon FORCS’ or a third party’s reputation, credit, interest, or rights including intellectual property;
-
13.3.1.3.
Where a member did or tried to interfere with the service or altered contents provided by FORCS;
-
13.3.1.4.
Where a member is subjected to a decision of bankruptcy, incompetency, or quasi-incompetency, or a judgment of conviction, death, missing, dissolution, dishonor, etc.;
-
13.3.1.5.
Where a member does not pay overdue fees for the service for more than one month; or
-
13.3.1.6.
Where a reason for rejecting the member’s application stated in Article 8.3 is found.
-
13.4.
FORCS immediately deletes all member information upon account termination (except for the information that must be kept under applicable laws), and hence the information cannot be recovered.
-
13.5.
FORCS shall not assume any responsibility for problems occurring as a result of the termination of the Service Agreement.
14. Precautions at the Time of Service Use
-
14.1.
Users may use the eformsign service after account registration.
-
14.2.
Different service privileges may apply according to the plan selected by each member or company that each member belongs to, and the details of this will be announced on the homepage.
-
14.3.
Some features may incur extra fees or charges. Before members apply to use the service, FORCS will, via the homepage, notify members about the service and extra fees and charges that may incur from using some features.
-
14.4.
FORCS may change the content and pricing of specific plans after giving a relevant member(s) a prior notice thereof.
-
14.5.
Members are advised to log out for security reasons after the end of the service use.
-
14.6.
When a member creates a document for the company the member belongs to, the documents are automatically shared to other members of the company according to the permissions they have.
15. Legal Effect of Electronic Documents
-
15.1.
An electronic document shall not be denied legal effect as a document solely because it is in an electronic form, in accordance with Article 4.1 of the Framework Act on Electronic Documents and Transactions in Korea. However, the laws may vary by nation, and in cases where there is a law that goes against the legal effectiveness of electronic documents, the electronic document may not be legally binding.

15.2.
Each user must check whether electronic documents created by him/her are legally binding. FORCS is not responsible for any problems arising from not knowing whether an electronic document is legally binding or not.
16. Legal Effect of Electronic Signatures

16.1.
Electronic signatures, including signatures and seals, shall have an effect of a signature, signature and seal, or name and seal, as is agreed between the parties concerned, in accordance with Article 3.3 of Digital Signature Act in Korea. However, the laws may vary by nation, and in cases where there is a law that goes against the legal effectiveness of electronic signatures, the electronic signature may not be legally binding.

16.2.
Signatures used for electronic signatures are general electronic signatures, not certificate-based signatures. Hence, in the case where a law requires the use of a certificate-based signature, the legal effectiveness of the electronic signature may not be recognized.

16.3.
Each user must check whether each of the electronic signatures created and requested to be signed is legally binding. FORCS is not responsible for any problems arising from not knowing whether an electronic document is legally binding or not.
17. Payment for Paid Services

17.1.
Payments for the eformsign service use shall be made according to the payment agency agreement between FORCS and the payment gateway.
-
17.2.
Members must register valid payment information if they want to subscribe to a paid plan. Available payment methods can be found on the payment page.
-
17.3.
Payments shall be made according to the payment methods selected by members. In the event a member has used the service in excess of the provision of the service for a relevant plan, or a member has used additional options other than his/her plan, additional fees other than relevant prices of the plan shall be charged.

17.4.
eformsign is a subscription-based service, and paid subscription plans are automatically renewed every month unless otherwise specified on the service payment page.
-
17.5.
Pricing and features of subscription plans may change over time, and FORCS may recommend a new subscription service that is similar to the one the member is subscribed to at the end of his/her subscription.
-
17.6.
FORCS shall provide invoices including the details of use via email. In the event FORCS finds out about an error after certain fees have been previously paid, it may correct the content of the invoice and issue another invoice. In the event a member has an objection to an invoice, he/she shall notify FORCS thereof within seven (7) days after the issuance day of the invoice.

17.7.
Members who have entered into a paid subscription plan may withdraw their subscription within a certain period of time as prescribed by applicable laws. Note that paid subscriptions may include services that cannot be withdrawn, as prescribed by applicable laws including the Act on the Consumer Protection in Electronic Commerce, etc., and in such a case, FORCS will take the necessary measures in accordance with the applicable laws to restrict the withdrawal of the service.

17.8.
In the case where an incorrect amount of payment is made for paid services, FORCS will refund the amount that was incorrectly made in the same method the payment was made by the member. However, if a refund cannot be made in the same method, then this will be notified in advance to the member and the refund will be paid out as credits if the member’s consent is obtained.

17.9.
Each member is obligated to pay a subscription fee for using a paid subscription, and the member is responsible for any problems arising from the failure to pay the subscription.

18. Change or Termination of a Paid Subscription Plan

18.1.
The subscription plan can be changed only once per month. When a member subscribes to a paid subscription plan for the first time, the new subscription will be applied immediately. When an existing paid member changes to a different paid subscription plan, the new subscription will be applied from the first day of the following month.

18.2.
In the event a member deletes a company while subscribed to a paid subscription plan, the paid subscription plan will be terminated. Also, the fees from the first date until the date of the deletion shall be calculated on a pro-rata basis, and charged on the next day; provided, however, that with respect to additional options, excesses, and additional use fees beyond the scope of provision in a relevant plan (creating documents over the limit, having additional user accounts, etc.), the entire fee amounts shall be charged according to usage.
19. Management of Overdue Fees

19.1.
If payment is not made by the payment due date, FORCS will notify the member of this and change the member’s account status.
-
19.2.
If the overdue status surpasses 7 days, then the member’s use of the service may be restricted or suspended.
-
19.3.
If payment is not made within 30 days of the past due date, FORCS may terminate the contract in accordance with Article 13.3.1.5. This may delete all of the member’s data and the member is responsible for all problems caused by this.

19.4.
In the event that the member fails to make the payment by the payment due date, FORCS may apply the statutory interest rate of 6% per year.
20. Use by Non-members
-
20.1.
FORCS provides a method to create service URLs for non-members so that members can make document requests to non-members.
-
20.2.
Members may send to a non-member(s) a relevant service URL created for non-members and make a request for service use.
-
20.3.
Non-members may have access to the service URL for electronic documents and must agree to the Written Consent to Use of Electronic Document and Electronic Signatures before using the service.

20.4.
When a member requests a document to be reviewed and signed by a non-member, the member must make the non-member verify his/her legal name, email address, phone number, etc. and verify his/her identity through authentication.

20.5.
FORCS is not responsible for any problems arising from a member requesting documents to be reviewed and signed by a non-member.
21. Duties of Members

21.1.
Members shall be responsible for all activities relating to the use of the services and must comply with all applicable local laws.

21.2.
Members must use the service as prescribed by the Terms and Conditions of Use and are obligated to pay the fees charged when using a paid service.
-
21.3.
Members shall not share their account information including passwords, and may not use other members’ accounts.
-
21.4.
Members shall not use the services for illegal purposes or in the way of violating the Terms and Conditions of Use. As well, members shall not be engaged in each of the following activities in using the services:

21.4.1.
Violating relevant laws including the Copyright Act or engaging in activities against social orders in the course of using the services; or
-
21.4.2.
Engaging in any activity that may cause damages to FORCS or a third party willfully or with gross negligence.

21.5.
Notwithstanding Article 21 (Duties of Members), in the event a member or non-member who has used the services via the member uses the services in violation of the Terms and Conditions of Use, the member shall be held responsible therefor.

21.6.
In the event a user content violates relevant laws, FORCS does not bear any responsibility.
22. Duties of FORCS

22.1.
FORCS is committed to providing a continuous and stable service as defined by the Terms and Conditions of Use.
-
22.2.
FORCS is committed to protecting members’ personal information as well as disclosing and complying with the privacy policy in order to provide a high level of information security.
-
22.3.
If an objection or complaint raised by a member is objectively recognized as valid, FORCS must promptly handle it within a reasonable period. However, in the case an objection or complaint is difficult to handle promptly, FORCS will notify the member of the reason, the schedule for which the objection or complaint will be handled, and its results via email or another medium.
23. Intellectual Property Rights

23.1.
FORCS shall have intellectual property rights, ownership, and copyrights to the eformsign related software and service content.

23.2.
Members shall have intellectual property rights to the content they created. However, in the case a member creates content by modifying some service content, then the member shall have intellectual property rights only for the part created by the member.

23.3.
Members must not use any information gained by using the services provided by FORCS for any commercial purpose including reproduction, transmission, editing, publication, distribution, broadcasting, performance, and re-creation or made available to others without prior consent from FORCS.
24. Compensation for Damages

24.1.
In the event FORCS willfully or with gross negligence has caused damages to members as a result of its providing the service that does not meet the quality and functions specified in the Service Level Agreement, FORCS shall compensate members for damages in a way specified in the Service Level Agreement.

24.2.
In the event a member, willfully or with gross negligence, has caused damages to FORCS in violating its obligations under the Terms and Conditions of Use, the member shall be responsible for compensating FORCS for damages.

24.3.
In the event FORCS was subjected to various complaints by a third party, including a claim for damages and lawsuit because a member had used the service for illegal purposes or in a way of violating the Terms and Conditions of Use or infringe third party copyright or intellectual property rights, the member shall exempt FORCS from liability under its responsibility and at its cost. If FORCS is not exempted from liability as such, the member shall compensate for all the damages incurred as a result.
25. FORCS’ Exemption from Liability

25.1.
FORCS shall be exempted from liability in each of the following cases:

25.1.1.
Where FORCS is unable to provide the service due to natural disasters, national policies, or other similar force majeure events;

25.1.2.
When the service cannot be used due to the maintenance, replacement, regular inspection, construction, etc. of the equipment used for service operation;
-
25.1.3.
Damages occurred due to reasons attributable to a user;
-
25.1.4.
Damages arising from the member violating the Terms and Conditions of Use;
-
25.1.5.
The accuracy and reliability of the information, materials, or facts of the user content posted on the service by a member;
-
25.1.6.
Transactions or disputes arising from the use or mediation of eformsign between members or between a member and a third party;
-
25.1.7.
When a member's account is suspended or deleted due to reason such as non-payment of user fees or violation of the Terms and Conditions of Use, or when an archived file is deleted, causing damage to the user;
-
25.1.8.
Where a user(s) or a third party has suffered damages because of a member’s willful or grossly negligent conduct, or unskillfulness for service use methods;
-
25.1.9.
Any damages arising from the use of the service provided during the free trial period (except in the case of deliberate or gross negligence);
-
25.1.10.
Where a problem has occurred because of a member’s use environment or a network environment without FORCS’s willful or grossly negligent conduct;
-
25.1.11.
Where an external cloud infra service provider(s) or an additional service provider(s) has discontinued the service or has not normally provided the service, and as a result, damages have occurred to a member(s); or
-
25.1.12.
In the event a member’s personal information is leaked and the service was illegally used due to the member not properly managing one’s login information such as the account password.
26. Disclaimer of Guarantees

26.1.
FORCS shall provide the service as it is, and may have defects.

26.2.
FORCS does not guarantee each of the following cases:

26.2.1.
The service shall be used at all times, without interruption, and without errors;

26.2.2.
The service quality shall be satisfied;
-
26.2.3.
The service shall correct all errors;
-
26.2.4.
The legal effect of electronic documents or the legal effect of documents signed electronically using eformsign;

26.3.
Users understand and agree that the service use is by their own decision, and they shall be wholly responsible for the service use.
27. Dispute Settlement

27.1.
In the event there is a dispute between FORCS and a member with respect to the service use, the parties shall endeavor to resolve the dispute amicably by sincerely having a consultation for resolving the dispute.

27.2.
In the event the dispute is not resolved notwithstanding such endeavors, the parties shall submit to the jurisdiction of the courts of the Republic of Singapore. For eformsign customers who signed up in the Republic of Korea, the parties shall submit to the jurisdiction of the courts of the Republic of Korea.
28. Miscellaneous

28.1.
Members’ rights and obligations under the Terms and Conditions of Use may not be assigned or transferred without FORCS’s consent.

28.2.
In the event a specific provision of the Terms and Conditions of Use ceases to have effect, the Terms and Conditions of Use except for the ineffective provision shall remain effective.

28.3.
Even if FORCS does not enforce or exercise a certain provision(s) of the Terms and Conditions of Use, it shall not be deemed to have waived the provision(s).

28.4.
Any matter not specified in the Terms and Conditions of Use shall follow general commercial practices.
